Terms and Conditions of Sale

By ordering any products from ReachBio LLC, you and your company unconditionally agree to all the terms, conditions and disclaimers as outlined on this page. These terms may be changed at any time without notice, so you are advised to read them before each order.

Conditions

ALL REACHBIO PRODUCTS ARE SOLD FOR RESEARCH USE ONLY. ReachBio products are NOT to be used for human or veterinary use, or for any in vitro diagnostic or clinical procedures whatsoever. The purchaser shall not make products purchased from ReachBio available for the purpose of further resale or alter the product label of any product (including distributed products) without the express written permission of ReachBio.

Please contact ReachBio for a current price list. Prices are correct at time of printing but are subject to change without notice.

Terms

All invoices (credit terms to qualified existing customers and academic institutions only), unless otherwise stated, are issued at time of shipment and are payable within 30 days. Invoices not paid within 30 days (or otherwise stated) are subject to a late fee of 10% of the balance and to a 1.5% per month (18% per annum) interest fee. Any invoices not paid within 120 days are subject to collection proceedings.

Payment may be made by credit card (Visa, MasterCard, Discover and American Express), company check, cashier check, money order or wire transfer (please contact us for bank account details when submitting remittance by wire transfer).

Shipping and Delivery

All orders are shipped FOB ReachBio LLC's facility, Seattle, WA. Shipping and handling charges are pre-paid and added to your invoice as a separate item. Shipping and handling charges vary according to weight and overnight or same day delivery service. Responsibility for making any claims to carrier related to damage to products that occurs during shipment lies solely with purchaser.

Cancellation, Claims and Returns

Cancellation of orders will not be accepted after the order has been confirmed by phone, email or facsimile. Product returns will not be accepted without prior written authorization. Requests to return goods must be made within seven days of receipt. ReachBio reserves the right to test a sample of the product prior to authorizing the return of the remaining product and to deny return if, in the opinion of ReachBio, the product complaint is a result of inappropriate usage or handling rather than a failure of the product to meet established product specifications.

Limited Product Warranty

All products sold by ReachBio LLC (ReachBio) are warranted only to meet the specifications provided on the relevant product-specific Product Information Sheet and/or Technical Data Sheet. ReachBio makes no warranty as to the utility or fitness for use of its products for any application whatsoever. ReachBio provides the products to the purchaser with the understanding that the purchaser is solely responsible for determining if the product is suitable for his or her intended application. ReachBio shall not be liable for any damages or injury to persons or property, arising from the purchase or use of the product, or for any results or failure to obtain results arising out of the use of the products or inability to use the products. In addition, ReachBio shall not be liable for any product after the product expiration date or if the product has been misused, damaged or has otherwise become unusable due to improper storage or handling by purchaser. This warranty is exclusive and limits ReachBio's liability to the replacement of the product or, at ReachBio's option, full credit of the original purchase price.

THE LIMITED WARRANTY ABOVE IS THE SOLE AND EXCLUSIVE WARRANTY PROVIDED BY REACHBIO IN CONNECTION WITH THE PRODUCTS. NO OTHER WARRANTIES, GUARANTEES AND REPRESENTATIONS OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, HOWEVER ARISING (WHETHER BY CONTRACT, TORT, NEGLIGENCE, PRINCIPLES OF MANUFACTURER’S LIABILITY, OPERATION OF LAW, CONDUCT, STATEMENT OR OTHERWISE), ARE PROVIDED BY REACHBIO, AND REACHBIO SHALL HAVE NO LIABILITY IN ANY EVENT FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES ARISING OUT OF THE USE, THE RESULTS OF USE, OR THE INABILITY TO USE ANY PRODUCT.
